Responsibilities:
- We seek to hire a Corporate Paralegal to join our Legal department. This position will be based in our San Francisco office and will report to the Vice President/Deputy General Counsel. This individual will be responsible for the following:
- Coordinating legal department support for the Board of Directors and its committees, including the preparation and distribution of board materials and assisting in the maintenance of the corporate records applicable to the Board and its committees.
- Assisting in all aspects of ongoing securities laws compliance, including assisting in the preparation and filing of annual and quarterly SEC disclosure documents, overseeing the review of Section 16 filings, and coordinating the preparation and delivery of documentation required in connection with Rule 144 sales.
- Assisting with the management process and preparation of necessary documents in connection with the Annual Meeting of stockholders.
- Assisting with monitoring and maintenance of updates to corporate governance and other Company policies and resources, such as the Company’s Code of Conduct and Insider Trading Policy.
- Providing support on other general corporate matters and merger and acquisition transactions as necessary.
Required Skills/Experience:
- This is a newly-created position, and thus the job responsibilities are not completely firm and will include other ad hoc projects, depending upon Company need and individual experience.
- BA/BS graduate with excellent academic credentials.
- Minimum of 3 years experience as a corporate paralegal at a law firm. Additional in-house experience at a public company preferable but not required. Experience with a software or other technology business is a plus.
- High proficiency in Word and Excel.
- Excellent attention to detail and accuracy.
- Hard working and well-organized. Must be able to manage multiple projects simultaneously under deadline pressure.
- Flexibility and intellectual curiosity to work on a broad variety of legal matters.
- Sound judgment and the ability to property handle confidential and sensitive information.
- Excellent interpersonal skills, dynamic and highly team-oriented. Demonstrated ability to work cross-functionally at all levels of the organization. Sense of humor and commitment to professionalism are required.
