Executive Compensation Manager

Responsibilities:
  • Provide support and input into the design, implementation, and ongoing management of compensation, benefit and perquisite programs that support Salesforce.com’s global 120+ executives (PCOMM, SVPs, and VPs) and Board of Directors.
  • Manage programs under the company's Long-Term Incentive Compensation Plan, specifically the Stock Option and RSU programs.
  • Ensure executive reports are current and accurately reflect the correct populations, remuneration and equity holdings.
  • Conduct and/or participate in market research and compensation surveys to evaluate and report on the company’s competitive positions in the market.
  • Assist in executive compensation projects as needs arise and provide ad-hoc executive compensation and equity compensation support.
  • Assist in the preparation of Compensation Committee materials.
  • Prepare quarterly equity comp analytics and data processing.
  • Partner with equity vendor to ensure stock administration is compliant, timely and customer-focused.
  • Point person for equity transactions and coordination between grantees, vendor and legal department, if required.
  • Develop country specific plan modification and equity award type recommendations and assist clients with implementation of their global incentive programs.
  • Assist with administration of International equity tax requirements and internal reporting requirements.
  • Ensure adequacy of internal controls and proper accounting for executive and equity programs, including documentation.
  • Partner with Finance, Accounting and Legal to ensure proper disclosure, accounting and audit requirements are met.
  • Manage compliance relating to SOX 404 audit and internal control requirements.
  • Keep up to date on the regulations governing Officer Pay, regulations such 409A, 123R, 162m.
  • Prepare compensation offers for global executive expatriates/transfers.
  • Maintains / administers executive individual employment agreements including but not limited to Change of Control agreements, Non-compete and Non-solicit agreements.
  • Participate in professional compensation associations (e.g. NASPP, GEO) to stay current on executive compensation trends.
  • Draft employee communication and education materials and prospectus disclosures for global equity compensation programs.
  • Create country specific administrative procedure manuals and Coordinate legal reviews with allied law firm on securities law/registration requirements, foreign exchange limitations, labor law and entitlement issues.
  • Administers annual executive Total Rewards review program.
  • Performs executive job evaluations.


Required Skills/Experience:
  • Minimum 7 years in compensation with 3 years working with executive pay programs specifically
  • Development of executive compensation proposals particularly in the areas of deferred compensation, disclosures for proxy, long-term incentive plan managagement
  • Experience interpreting legal regulations and their impact on company plans
  • Competent in managing HR data administration, collection, and distribution
  • Excellent skills in developing/managing administrative processes for executive compensation programs
  • Experience with compensation programs outside of US is preferred
  • Demonstrated experience handling sensitive and confidential materials
  • Experience with compensation programs for Board of Directors
  • Expert level user of Microsoft Excel and powerpoint current versions
  • Competent in using PowerPoint to design presentations
  • Able to produce accurate results using detailed and complex processes.
  • Must work well under pressure, and have the flexibility to deal with multiple changing priorities
  • A bachelor's degree in accounting, business, finance, human resources, or a related field (MBA, Master's of Tax, CPA or JD a plus)
